Part 1 — Using this website

1. Who we are

Harshi AI Labs OPC Private Limited ("Harshi AI Labs", "the Lab", "we") is a company registered in India, based in Pune. These terms govern your use of this website and the pages served on it ("the site").

2. This site is pre-launch

The site is a preview of products that are not yet available. Product descriptions, tiers, rates and dates shown here are indicative and may change before launch. Nothing on the site is an offer that can be accepted, a contract, or a commitment to a price, feature, or timeline, until we say otherwise in a final, published form.

3. Intellectual property

All content on the site — text, names, marks, logos, design and code — is owned by the Lab and protected by Indian and international IP law. You may not copy, reproduce, or use any of it without our prior written permission.

4. No warranties

The site is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted or error-free.

5. Limitation of liability

To the maximum extent permitted by law, the Lab and its operators are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site, and our aggregate liability for any claim connected to the site is limited to the extent permitted by applicable Indian law.

6. Changes to these terms

We may update these terms with notice on this page; the version date above is updated with each change. Continued use of the site after changes constitutes acceptance.

Part 2 — Affiliate program terms

The affiliate program described below has not opened for signups yet. The following terms will govern it when it does; they are published now for transparency.

8. The program

The Lab operates a company-level affiliate program covering all of its products (and future products as added). One account gives you one personal promo code and one dashboard; commissions from every product post to a single ledger and a single payout.

9. Eligibility

• You must be 18 years of age or older and able to lawfully enter into a contract and lawfully receive payments in your country of residence.
• Signups from restricted and sanctioned countries are declined at signup. The restricted list is maintained as data (current international sanctions, including OFAC country-level designations, and Indian sanctions) and may change; if you become resident in a newly restricted country, your account and any pending payouts may be suspended.
• The Lab may reject any application at its discretion.

10. Codes, attribution and commission

• Your code (HAI-XXXXXX) attributes a transaction when a customer enters it at checkout. Attribution is strictly per-transaction: a transaction earns commission when your code is used for it — first purchase, renewal, or top-up. A customer may use a different code, or no code, for any other transaction; commission always follows the code actually used.
• Tiers: Bronze (5%) at signup, Silver (7%) at 1,000 completed attributed transactions, Gold (10%) at 10,000 — counts are made per financial year (April – March). Every new financial year all affiliates start at Bronze again and re-promote as their new-year count grows; commission earned in earlier years is unaffected (it is settled per the payout schedule below). Promotions are automatic; the Lab may adjust tiers prospectively with notice.
• Commission and customer discount are the same percentage, applied to the gross transaction amount. Commission is recorded only on completed (paid) transactions; refunded transactions are excluded.
• You may use your own code on your own purchases. No restriction; you simply earn the standard rate like any other referred customer.
• Limited-time "festival" discounts (HAIL-XXXX) apply automatically in their date windows, are discount-only (never pay commission), and do not stack with affiliate codes — an entered affiliate code takes precedence.

11. Payouts

• Quarters are calendar quarters (IST). Each quarter is tallied at quarter end and payment is initiated one month after quarter end (Q1 payments initiated in April).
• Minimum payout is INR 1,000 per quarter. Amounts below the minimum are not lost: they carry forward cumulatively and pay with a later quarter once the cumulative total reaches INR 1,000.
• INR is the authoritative currency. USD figures shown in your dashboard are directional only, for reference — they are not a quote, and the amount actually received depends on the FX rate prevailing on the day of payment initiation and the underlying bank's determination.
• Payouts are made by bank transfer to the account you register.

12. Bank account accuracy

We cannot verify your bank account by transfer. The account holder name must exactly match your registered name, and you are solely responsible for providing accurate bank details. Payouts to incorrect accounts cannot be recovered.

13. Promotion guidelines (advertising law)

• You must clearly disclose your affiliate relationship in every promotion (e.g. "affiliate link — I earn a commission if you buy through it").
• Do not make absolute or guaranteed performance claims about our AI products (e.g. "100% accurate", "never makes mistakes"). Under the Consumer Protection Act 2019 (as amended), misleading advertisements expose both the advertiser and endorsers to penalties.
• Do not misrepresent product capabilities, pricing, or availability; do not use our trademarks in domain names, app names, or ad placements without written consent.
• Do not promote the program in any way that is illegal in your jurisdiction.

14. Taxes

You are solely responsible for your own tax obligations on commission income. The Lab will apply Indian tax deductions (including TDS under Section 194H of the Income-tax Act, as applicable) where required by law, and may request KYC details (PAN, and GSTIN where applicable) before processing payments. Non-resident affiliates: payments to non-residents are treated as import of services and may attract reverse-charge GST — details will be shared with you at the pre-beta stage, together with our counsel's final position.

15. Conduct; suspension

• Accounts involved in fraud, chargeback manipulation, or material breach of these terms may be suspended or terminated, with unearned commissions voided. Legitimate earned commissions due at the time of suspension for other reasons are settled per the schedule.
• Tier demotion is not performed automatically; it is reserved for confirmed fraud.

16. Records

All program events — signups, code usage, tier changes, tally runs, FX snapshots, and payout actions — are recorded in an append-only, hash-chained audit log. You may request your own records via hello@harshiailabs.com.

17. Changes; contact
